    Using a unique dataset on all major corporate restructuring events in Japan between 1981 and 2010, we assess changes in the role of the main bank in guiding corporate turarounds, and the economic consequences of these changes for distressed firms. We identify firms in distress among all listed firms based on accounting data, and we separately identify firms undergoing corporate restructuring based on a newspaper search for the Japanese term “saiken”. Even though the ratio of distressed firms has not declined, the incidence of saiken restructuring by such firms has become less frequent after the 1990s, indicating a decline in the governance and rescue role of the main bank. When firms undergo saiken, they adopt real adjustments in terms of labor, assets and finance. While the intensity of these adjustments has also declined over time, saiken firms make more significant adjustments than distressed firms that do not undergo restructuring. The role of saiken was an important part of corporate renewal in Japan, and it has declined. In line with existing research, these findings underscore changes in Japanese corporate governance, in particular regarding the decline of the monitoring and restructuring function of the main bank.

    A "shock therapy" might have different impacts between large and small firms. In this paper, we focus on the clients of two large failed Japanese banks
    LTCB and NCB. We first show that subsequent events after the bank failures allowed new LTCB to adopt a "shock therapy" but new NCB to keep "soft budget constraints". We then show that the different therapies made performances of these two banks' customers very different. Under the shock therapy, large firms showed significant recovery of their profits but small firms did not. In contrast, under the soft budget constraints, large firms did not show recovery and small firms terminated the relationship by the new bank experienced significant decline in their profits. © 2007 Elsevier B.V. All rights reserved.

    A bank failure can have various adverse consequences for clients; these adverse impacts differ depending on which bank takes over the failed banks' operations. In this paper, we show how the new banks' management strategies are important in mitigating the short- and long-run consequences. We focus on the clients of three large failed Japanese banks and examine their responses in terms of increased bankruptcies and changes in market valuation after the banks' operations were taken over. The results imply that the choice of "shock therapy" or "soft budget constraints" had dramatically different consequences in resolving the bad loan problems in Japan.

    We conducted the research on the bank-firm relationship under the financial crises in recent decades, and the globalization of Japanese firms. Using data on the geographical distribution of production, sales and assets available in financial statements, this study observed how Japan’s three major export-oriented manufacturing industries shifted their geographical distribution of production, sales and assets among the world’s four major regions during the fiscal years from 1999 to 2015. A region-by-region breakdown of production, sales and assets at major Japanese export-oriented manufacturers indicates that robust cash flow and fewer opportunities for plant and equipment investment characterize head offices of Japanese companies located in Japan that have built networks of local subsidiaries in major regions of the world. We also found the large-scale cross-border mergers effectively reorganized the product portfolio for Japanese firms seeking further growth opportunity.

    In this study, I empirically examine the main banks' motive for the choice of debt forgiveness and legal protection in order to restructure their distressed clients by using data on large listed companies suffered financial distress from 1998 to 2004. The results show that closeness of long-term relationship is one of main factors to determine the bank's willingness to rescue its distressed clients while the profitability of distressed client firm is also important. Moreover, other factors including bank's stance against insolvent clients and introduction of new scheme of corporate restructuring like the Industrial Revitalization of Japan have statistically significant impacts on the choice of debt forgiveness and bankruptcy for large distressed clients.
